It is the customer&#8217;s responsibility to check in regularly with\nany changes, as we cannot proactively notify customers of any changes.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">b) Customers who wish to be informed individually of any changes\nmust notify info@fundsholding.com by sending an e-mail to <\/span><span style=\"color: black;\"><a href=\"mailto:info@fundsholding.com\"><span style=\"font-family: 'Arial',sans-serif;\">them<\/span><\/a><\/span><span style=\"font-family: 'Arial',sans-serif; color: black;\"> . We don&#8217;t expect to have\nto research our customers&#8216; contact details on the internet.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">c) Our T&amp;Cs are easy to find and linked in the footer of our\nwebsite in accordance with European standards.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">d) Acceptance of the T&amp;Cs occurs through the use of our\nservices. Customers who do not agree with a change to the T&amp;Cs during their\ncontract period have a special right of termination within the first 45 days\nafter notification of the change.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">e) The broker affiliated with the client has its own privacy\npolicy. Acceptance of these provisions is directly between the client and the\nbroker. Any liability on our part with regard to the broker&#8217;s privacy policy is\nexcluded.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">f) In the event of ambiguities in the T&amp;Cs, every customer is\nobliged to obtain clarity via official channels before using our services and\nthus before agreeing to the T&amp;Cs. If this is not done, any ambiguities will\nbe interpreted to the detriment of the customer and not to our disadvantage.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">g) We strive to make our T&amp;Cs clear and consistent. If\ncustomers notice any inconsistencies or ambiguities, we ask for notification\nand allow us the opportunity to revise before taking legal action.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">VI.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Terms of Termination<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">a. A customer can terminate the contract after the expiry of the\nminimum contract period or by giving a special right of termination by sending\nan e-mail to legal@fundsholding.com.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">b. The Company may terminate the Agreement if the Client publicly\nportrays the Company in a negative light or engages in misconduct such as\nthreats or insults to Employees without good cause. Such behavior will be\nreported in accordance with the legal requirements of the customer&#8217;s reporting\ncountry.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">c. The Company may also terminate the Agreement if legal,\ncompliance or other risks arise for our business, or if we are requested to do\nso by authorities or a higher majeure.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">d. The notice period is 5 days (an average within the range you\nspecify).<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">e. A termination is not effective until it has been confirmed by\nthe Company. In the event of no confirmation, the customer should resend the\ncancellation via the contact form on the website.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">f. Fees already paid will not be refunded. These circumstances are defined as\n&#8222;Force Majeure&#8220; and include, but are not limited to:<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">i. natural disasters such as earthquakes, floods, hurricanes,\ntornadoes, fires, tsunamis and droughts;<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">ii. war, insurrection, terrorism, invasion, armed conflict,\nembargoes, sanctions or international, national or regional emergencies;<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">iii. acts of God;<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">iv. epidemics, pandemics or disease outbreaks;<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">v. nuclear accidents or radioactive contamination;<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">vi. industrial disputes, strikes, industrial disputes or boycotts;<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">vii. Economic difficulties such as recessions, economic crises,\nsudden market volatility, significant economic data releases;<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">viii. bank failures, bank or broker runs;<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">ix. Legal or regulatory action, regulation or restriction;<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">x. Technical or technological malfunctions, including, but not\nlimited to, disruptions to the Internet, telecommunications or power grid.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">a. If, due to a case of force majeure, the Company is unable to\nfulfill its obligations, it will inform the Client as soon as possible and make\nall reasonable efforts to resume its obligations. However, the Company is under\nno obligation to compensate for any loss or damage caused by Force Majeure.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">VIII.\u00a0\u00a0\u00a0\u00a0 Nicht-Verzicht<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">The failure of The Funds Holding Ltd. to exercise or enforce any\nright or provision of these Terms and Conditions shall not constitute a waiver\nof such right or provision. Any waiver or consent to any breach of the\nprovisions of these Terms and Conditions shall be effective only if in writing\nand signed by an authorized representative of The Funds Holding Ltd. Such\nwritten consent or waiver applies only to the specifically designated case and\ndoes not prevent us from acting in accordance with the Terms in all other\ncases.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">Any failure to take action or tolerance with respect to any breach\nor failure to comply with these provisions shall not be deemed a waiver or\nexemption from future violations or non-compliance.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 IX.Severability<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">Should one or more provisions of these General Terms and\nConditions be or become invalid or unenforceable in whole or in part, this\nshall not affect the validity of the remaining provisions. The Funds Holding Ltd. reserves the right to collect and use\nimages, media or other materials from users or participants in events. The Funds Holding Ltd. Fees: There is a 25% fee for the use of The\nFunds Holding Ltd. services. However, this fee can be adjusted through\nindividual agreements, communicated offers, or higher deposits. Details of\nthese fees and possible adjustments are set out in the contract with the\nbroker.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">2. Broker Fees: In addition to The Funds Holding Ltd.&#8217;s fees, the\nclient may pay fees to the broker in the form of spread and lot commission.\nThese fees are set directly by the broker and may vary.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">3. Best Execution: The Funds Holding Ltd. always strives to\nnegotiate the most competitive fees with brokers in the best interests of all\nparties. Nevertheless, The Funds Holding Ltd. cannot guarantee that the fees\nset by the brokers will always be the cheapest on the market.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">4. Adjustment of Broker Fees: In some cases, The Funds Holding\nLtd., in consultation with the brokers, may adjust the fees in order to achieve\nbetter conditions for clients. Such adjustments will be communicated\ntransparently and will only come into force after appropriate notification.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">5. Transparency: All fees, both those charged by The Funds Holding\nLtd. and those charged by the broker, should be clear and transparent to the\nclient. It is recommended that clients familiarize themselves with the\nrespective fee structures before using The Funds Holding Ltd. services.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">XV.Transmission\u00a0\u00a0\u00a0\u00a0 <\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">The Client acknowledges and agrees that should a court decide that\nThe Funds Holding Ltd. requires its own T&amp;Cs, the obligations and rights\ndescribed herein will not automatically be transferred to The Funds Holding\nLtd., but will be given priority to the Partner Broker. The Funds Holding Ltd.\nreserves the right to Right to transfer rights and obligations under these\nT&amp;Cs to third parties if it is necessary for the business model or for\nlegal reasons. Such transfer will not affect the Customer&#8217;s rights under these\nT&amp;Cs.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">XVI.\u00a0\u00a0\u00a0 Entire Agreement<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">These T&amp;Cs constitute the entire agreement between The Funds\nHolding Ltd. and the Client and supersede all prior written or oral agreements,\nnegotiations, undertakings or understandings with respect to the subject matter\nhereunder. The Customer acknowledges that it has not relied on any\nrepresentations, promises or undertakings that are not set out in these\nT&amp;Cs. Changes or additions to these terms and conditions must be made in\nwriting. Clients trade on the broker, deposit money there independently\nand have to connect to all services independently, accepting the respective\nterms and conditions.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">\u2013 If, however, any provision of this Agreement is found by a court\nof competent jurisdiction to be invalid or unenforceable, such provision shall\nbe modified to the extent necessary to make it valid and enforceable without\naffecting the remaining provisions of this Agreement.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">\u2013 If such modification is not possible, the provision in question\nwill be deemed to be severable to the extent necessary to keep the remaining\nprovisions of this Agreement valid and effective.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">\u2013 Both parties acknowledge that it is in their mutual interest\nthat in the event that any part of this Agreement is found to be invalid or\nunenforceable, the remainder of the Agreement will continue in full force and\neffect as long as the T&amp;Cs of The Funds Holding Ltd. do not conflict with\nthose of the Partner Broker.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">XIX.\u00a0\u00a0\u00a0 Non-Disclosure Obligations<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">The parties undertake to maintain confidentiality about all\nknowledge gained in the course of this cooperation, i.e. in particular about\nthe business activities and customer contacts of the customer on the one hand,\nand about the support services and shared knowledge of the partner on the\nother. This obligation of confidentiality also includes, in particular, all\neconomic aspects of the customer&#8217;s business activities and the claims arising\nfrom them by the shareholder. Information and documents relating to this may\nonly be provided or forwarded to members of the tax and\/or legal professions\nwho are bound by a statutory or professional duty of confidentiality. The\nobligation of confidentiality shall apply beyond the date of termination of the\ncontract.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">For the duration of the contractual cooperation, the customer is\nnot entitled, in accordance with the Anti-Money-Loundrey Compliance, to perform\nits activities in the name and\/or account of third parties, to participate in\ncomparable third-party companies \u2013 regardless of their legal form \u2013 or to\nestablish companies themselves in other forms of corporate law, unless it is\nensured by supplementary contractual agreements that the customer is also\nliable for other companies.\u00a0 The turnover generated by companies or companies\nis remunerated in accordance with the &#8222;Remuneration&#8220; section of these\nT&amp;Cs.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">XX.\u00a0\u00a0\u00a0\u00a0 Succession\u00a0\u00a0 arrangements<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">Both The Funds Holding Ltd. and the Client are entitled to\ntransfer their businesses to other forms of corporate law, e.g. to establish\ncompanies. In this case, the parties already agree on a transfer of these\ncontractual provisions to the respective successor or replacement companies or\ncompanies with a continuation of the above-mentioned contractual obligations of\nthe respective provision of service and consideration. If this is not\npermissible in individual cases due to the prohibition of contracts to the\ndetriment of third parties, the parties already undertake to conclude identical\nterms and conditions with the shareholder when founding the successor companies\nor companies, which correspond to the identical contractual framework\nconditions. If such a succession arrangement is already made in the first year\nof the contract term, the contract terms from this contract will be credited to\nany contract to be concluded with this successor.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">XXI.\u00a0\u00a0\u00a0 Intellectual property, rights of use and exploitation<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">1.All\u00a0\u00a0\u00a0 industrial property rights, copyrights, trademarks,\ndesigns, utility models and other intellectual property rights of a Contracting\nParty existing at the time of conclusion of this Agreement, in particular \u2013 but\nnot limited to \u2013 secret know-how, shall remain the exclusive property and, in\nthe absence of an express agreement to the contrary, the exclusive right of use\nand exploitation of the respective Contracting Party.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">2.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 All work results of completed and unfinished work\nachieved by the Client, alone or together with other contractors, in the\nperformance or on the occasion of the provision of the service, including all\nnotes, plans, formulas, concepts, technical improvements made, inventions,\ntrademarks, designs and utility models and other results, including the\nConfidential Information (the Confidential Information (the &#8222;Work\nResults&#8220;) are the right of the Client.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">3. \u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 The client undertakes to disclose all work results that\nare eligible for intellectual property rights to The Funds Holding Ltd. without\nundue delay<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">4.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 For purposes other than the provision of services\nunder this Agreement, the Cooperation Partner may use the results of the work\nonly with the written consent of the Client.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">5.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 To the extent that the Work Results developed by the\nClient are subject to copyright protection, the Client hereby waives, to the\nextent permitted by law, all rights it may have in relation to the Work Results\nand grants the Participant the exclusive, irrevocable, perpetual, transferable\nand in all respects unrestricted right of exploitation and use for all known\nand as yet unknown types of exploitation and use. This includes, in particular,\nthe right to reproduce, transfer to image, sound and data carriers,\ndisseminate, edit, redesign or translate the above-mentioned work results\nwithout the express consent of the cooperation partner, and to publish and\nexploit them in modified form or in the original. Furthermore, the shareholder\nis entitled, without separate consent, to transfer this right in whole or in\npart to others or to grant rights of use to others. The same applies to any\nlegal successors. The above provisions shall continue to apply indefinitely\nafter the termination of this Agreement.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">6. \u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 The Client undertakes, both during the term of this\nAgreement and thereafter, to assist the Partner in the acquisition of\nintellectual property rights upon request and to make all necessary\ndeclarations for this purpose.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">7. \u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 All remuneration claims of the Client for the transfer\nof the above rights to the Client shall be settled by the aforementioned\nremuneration of the Client. Without prejudice to applicable mandatory statutory\nprovisions, the customer shall not be entitled to an adjustment of the agreed\nremuneration or to payment of any further remuneration<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">XXII.\u00a0\u00a0 Preservation and release of documents, return of property<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">1.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 \u00a0Alle Informationen und Unterlagen, die der Kunden\nanl\u00e4sslich und im Rahmen der Erbringung der Dienstleistungen von The Funds\nHolding Ltd. erhalten oder erstellt hat, sind sorgf\u00e4ltig und gegen die\nEinsichtnahme unbefugter Dritter gesch\u00fctzt aufbewahren. Alle von den\nTeilhabenden f\u00fcr die Zwecke der Erbringung der vertraglichen Dienstleistungen\nzur Verf\u00fcgung gestellten Arbeitsmittel und sonstiges sich im Besitz des Kunden\nbefindliches Eigentum des Teilhabenden sind pfleglich zu behandeln.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">2.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 W\u00e4hrend der Laufzeit dieses Vertrages hat der Kunde\nalle Unterlagen und Aufzeichnungen, die er im Zusammenhang mit der\nVertragsdurchf\u00fchrung von The Funds Holding Ltd. erhalten oder erstellt hat,\nunverz\u00fcglich nach Anforderung an diesen herauszugeben und s\u00e4mtliche Daten und\nSoftware, einschlie\u00dflich der Quell- und Objektcode unverz\u00fcglich nach\nAufforderung zu l\u00f6schen. Nach der Beendigung dieses Vertrages haben die\nL\u00f6schung und Herausgabe unverz\u00fcglich ohne Aufforderung zu erfolgen. Dies gilt\nauch f\u00fcr die Herausgabe von den von dem Teilhabenden f\u00fcr die Zwecke der\nErbringung der vertraglichen Dienstleistungen zur Verf\u00fcgung gegebenenfalls\ngestellten Arbeitsmittel oder von sonstigem sich im Besitz des Kunden\nbefindlichen Eigentum von The Funds Holding Ltd&#8230; Die Geltendmachung eines\nZur\u00fcckbehaltungsrechts ist ausgeschlossen. Die vollst\u00e4ndige R\u00fcckgabe aller\nUnterlagen sowie die L\u00f6schung von allen Programmkopien und Daten auf s\u00e4mtlichen\nSpeichermedien sind schriftlich zu best\u00e4tigen.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">XXIII.\u00a0 \u00a0Vertrauliche Informationen<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">Vertrauliche Informationen im Sinne dieser Vereinbarung sind\ns\u00e4mtliche Informationen (ob schriftlich, elektronisch, m\u00fcndlich, digital\nverk\u00f6rpert oder in anderer Form), die von The Funds Holding Ltd. an den Kunden\noder einem mit dem Kunden im verbundenen Unternehmen zum vorgenannten Zweck\noffenbart werden. Als vertrauliche Informationen gelten insbesondere:<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">Gesch\u00e4ftsgeheimnisse, Produkte, Herstellungsprozesse, Know-how,\nErfindungen, gesch\u00e4ftliche Beziehungen, Gesch\u00e4ftsstrategien, Businesspl\u00e4ne,\nFinanzplanung, Personalangelegenheiten, digital verk\u00f6rperte Informationen\n(Daten); Jegliche Unterlagen und Informationen des Teilhabenden, die Gegenstand\ntechnischer und organisatorischer Geheimhaltungsma\u00dfnahmen sind und als\nvertraulich gekennzeichnet oder nach der Art der Information oder den Umst\u00e4nden\nder \u00dcbermittlung als vertraulich anzusehen sind; das Bestehen dieser\nVereinbarung und ihr Inhalt.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: Roboto; color: black;\">Keine vertraulichen Informationen sind solche Informationen, die\nder \u00d6ffentlichkeit vor der Mitteilung oder \u00dcbergabe durch den Teilhabenden\nbekannt oder allgemein zug\u00e4nglich waren oder dies zu einem sp\u00e4teren Zeitpunkt\nohne Versto\u00df gegen eine Geheimhaltungspflicht werden; die dem\nKooperationspartner bereits vor der Offenlegung durch den Teilhabenden und ohne\nVersto\u00df gegen eine Geheimhaltungspflicht nachweislich bekannt waren;<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: Roboto; color: black;\">die von dem Kunden ohne Nutzung oder Bezugnahme auf vertrauliche\nInformationen von dem The Funds Holding Ltd. selbst gewonnen wurden; oder die\nThe Funds Holding Ltd. von einem berechtigten Dritten ohne Versto\u00df gegen eine\nGeheimhaltungspflicht \u00fcbergeben oder zug\u00e4nglich gemacht werden.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">XXIV.\u00a0 R\u00fcckgabe vertraulicher Informationen<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">1.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 . Die Parteien werden Unterlagen, die sie jeweils vom\nanderen im Zusammenhang mit der Entwicklung usw. erhalten haben, nach\nBekanntwerden der Offenkundigkeit, K\u00fcndigung der Absichtserkl\u00e4rung gem. \u00a7 1 S.1\noder Beendigung des Vertrages \u00fcber die Zusammenarbeit unverz\u00fcglich dem\njeweiligen Informationsgeber zur\u00fcckgeben. (Anmerkung: Sofern die vertraulichen\nInformationen auch personenbezogene Daten enthalten, sollte darauf geachtet\nwerden, dass aufgrund der Vorgaben der DS-GVO, insb. Art. 17, ggf. abweichende\nRegelungen zur L\u00f6schung angezeigt sind.)<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">2.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 \u00a0Auf Aufforderung des Teilhabenden sowie ohne\nAufforderung sp\u00e4testens nach Erreichung des Zwecks ist der Kooperationspartner\nverpflichtet, s\u00e4mtliche vertraulichen Informationen einschlie\u00dflich der Kopien\nhiervon innerhalb von zehn (10) Arbeitstagen nach Zugang der Aufforderung bzw.\nnach Beendigung des Projektes zur\u00fcckzugeben oder zu vernichten (einschlie\u00dflich\nelektronisch gespeicherter vertraulicher Informationen), sofern nicht mit dem\nTeilhabenden vereinbarte oder gesetzliche Aufbewahrungspflichten dem\nentgegenstehen.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">3.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 \u00a0Die Vernichtung elektronisch gespeicherter\nvertraulicher Informationen erfolgt durch die vollst\u00e4ndige und unwiderrufliche\nL\u00f6schung der Dateien oder unwiederbringliche Zerst\u00f6rung des Datentr\u00e4gers.\nVollst\u00e4ndige und unwiderrufliche L\u00f6schung bedeutet bei elektronisch\ngespeicherten vertraulichen Informationen, dass die vertraulichen Informationen\nderart gel\u00f6scht werden, dass jeglicher Zugriff auf diese Informationen\nunm\u00f6glich wird, wobei spezielle L\u00f6schverfahren (z.B. mittels \u201eWiping\u201c) zu\nverwenden sind, welche den anerkannten Standards gen\u00fcgen (bspw. Standards des\nBundesamts f\u00fcr Informationssicherheit).<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">4.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 \u00a0Ausgenommen hiervon sind \u2013 neben vertraulichen\nInformationen, bzgl. derer eine Aufbewahrungspflicht i.S.d. Abs. 2 besteht \u2013\nVertrauliche Informationen, deren Vernichtung bzw. R\u00fcckgabe technisch nicht\nm\u00f6glich ist, z.B. da sie aufgrund eines automatisierten elektronischen\nBackup-Systems zur Sicherung von elektronischen Daten in einer Sicherungsdatei\ngespeichert wurden; hierzu z\u00e4hlt auch das technisch notwendige Vorhalten von\nStammdaten (z.B. Personal- oder Kundennummern), welches n\u00f6tig ist, um eine\nVerkn\u00fcpfung zu den archivierten Informationen herzustellen.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">5.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 \u00a0Auf Verlangen des Teilhabenden hat der\nKooperationspartner schriftlich zu versichern, dass er s\u00e4mtliche vertrauliche\nInformationen nach den Ma\u00dfgaben der vorstehenden Ziffern und den Weisungen des\nTeilhabenden vollst\u00e4ndig und unwiderruflich gel\u00f6scht hat.<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">XXV.\u00a0\u00a0 Nutzungs- und Verwertungsrechte<\/span><\/p>\n<p style=\"background: white; vertical-align: baseline; margin: 0cm 0cm 21.0pt 0cm;\"><span style=\"font-family: 'Arial',sans-serif; color: black;\">1.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Der Teilhabende hat, unbeschadet der Rechte, die er\nnach dem Gesch\u00e4ftsgeheimnisgesetz hat, hinsichtlich der vertraulichen\nInformationen alle Eigentums-, Nutzungs- und Verwertungsrechte. Der Teilhabende\nbeh\u00e4lt sich das ausschlie\u00dfliche Recht zur Schutzrechtsanmeldung vor.
